TRANSACTION PROCEDURES

1. SELLER issues a Full Corporate Offer

2. BUYER issues an Irrevocable Purchase Order accompanied by proof of funds
with authorization to verify.

3. SELLER issues Sale and Purchase contract for BUYERâ??S acceptance and
signature.

4. SELLER issues Commercial Invoice and BUYER signs and returns the
Commercial Invoice.

5. BUYER causes to be issued the Irrevocable SBLC or DLC, or its mutually agreeable
equivalent (ESCROW).

6. Transaction is completed pursuant to the sale contract between the Parties.

Our company is interested in purchasing regularly, on an ongoing basis, and is looking for reliable suppliers of quality products for the following energy commodities in the amount of:
- Thermal coal of category D with an average calorific value of at least 5,500 kcal - 1,000,000 tons per year.
- petroleum coke in volume - up to 200,000 tons per year.

Our delivery plan:
- an experimental batch in the amount of 5-10% of the total annual consumption of raw materials;
- monthly deliveries in equal shares according to the agreed schedule.

The content and chemical composition of the supplied products may vary slightly within
GOST standard errors and agreed with us for each batch delivery individually.

Shipping methods:
- by rail, delivery terms DAP Zhengzhou (all cargoes);
- by sea transport delivery term CIF port Changzhou Huanghua (coal);
- By sea, the delivery term is CIF port of Tianjin (petroleum coke).

Form of payment - letter of credit.
