Indicative Pricing Structure

Copper value is based on the applicable LME 85% settlement price, payable copper content, and the mutually agreed payable factor.
Gold content is remunerated based on the applicable LBMA daily price whenever the assay exceeds 1.5 g/t.
Gold values of 1.5 g/t or below are not payable.
Treatment Charges (TC), Refining Charges (RC), impurity penalties, deductions, and all other commercial adjustments will be mutually agreed and incorporated into the final Sales and Purchase Agreement.
Indicative Payment Terms

The seller's initial proposal is as follows:

20% payable upon execution of the Sales and Purchase Agreement (SPA);
80% payable against presentation of the agreed shipping documents under an irrevocable, transferable, and confirmed Documentary Letter of Credit (DLC).
Should the seller be unable to monetize the Documentary Letter of Credit for initial logistics costs, a corresponding advance against the initial 20% may be requested.

LIQUEFIED NATURAL GAS (LNG)

STANDARD PROCEDURE (CIF):

1. Buyer issues ICPO along with Buyerâ??s company registration certificate and Company Profile.
2. Seller issues Sale & Purchase Agreement (SPA), Buyer signs, and return the SPA in WORD format to Seller within seven (7) banking days along with buyerâ??s Client Information Sheet (CIS) and stating the exact bank issuing the Financial Instrument. Seller sends Final Approved SPA to Buyer in PDF Format along with the Proforma Invoice for buyerâ??s issuance of SBLC MT760 / DLC MT700 pre-advice or Ready, Willing and Able (RWA) MT999/199/799 to Sellerâ??s fiduciary bank confirming their readiness and capability to execute the transaction.
3. Buyer sends swift copy of their issued SBLC MT760 / DLC MT700 pre-advice or Ready, Willing and Able (RWA) MT999/199/799 to Sellerâ??s fiduciary bank. Upon confirmation, Seller issues to Buyer via email the following transaction documents (Partial POP):

Certificate of Analysis (COA) also known as Product Passport.

Statement of Product Availability.

Commercial Invoice for the total 1st shipment product value.

4. Within seven (7) banking days, Buyerâ??s bank in accordance with sellerâ??s verbiage issues swift fully funded SBLC MT760 or DLC MT 700 to Sellerâ??s fiduciary bank account to cover the 1st shipment total product value and send swift copies sent to Seller to enable seller to commence loading of product with the shipping company. Sellerâ??s bank issues 2% PB to Buyer's bank to activate Buyer's financial instrument within seven (7) days.

the paying buyer's letterhead, with Target Price, Payment method, with Top 50 bank data, company CIS, copy of the passport attached to the LOI, signature and stamp, dated.
PROCEDURES:

1. The buyer issues an ICPO with company registration, including a copy of the buyer's passport.
2. The seller issues the draft contract (SPA) to the buyer; Buyer and Seller review and sign the mutually accepted and Buyer RETURNS TO SELLER WITH MT799 via swift to Seller's bank.
3. The seller submits the signed contract to the government ministry for registration, legalization and notarization at the seller's expense.
4. Seller issues Buyer the soft performance warranty P P O P documents listed below:
Product supply commitment letter
Product availability letter
Certificate of origin
Product passport
Notice of readiness

5. The BUYER's bank ISSUES the bank instrument via SBLC MT760 for the amount of the first remittance to the Seller's bank coordinates, within seven (7) working days after the buyer receives the final approved contract in PDF format with PPOP to allow that the seller initiates procedures with the transport company and releases the complete set of POP documents.
6. Seller pays all intermediaries involved in the transaction as per signed NCNDA/IMFPA within 72 hours.
7. Thereafter, monthly shipment continues in accordance with the signed SPA and payment for the product will be made upon successful SGS/CIQ or equivalent inspection via TT/ 103.
8. After successful SGS/CIQ inspection by the buyer, the product is unloaded at the buyer's storage facility. The buyer's bank releases the full payment amount for the product or the balance payment via MT03/TT in USD or equivalent and title to the product transferred to the buyer.

Note: If the buyer does not issue the bank instrument within seven (7) working days, alternatively, the buyer pays via MT103/TT USD 475,000.00 or equivalent in EURO/RMB as execution of provisional guarantee within 72 hours and the amount will be deducted from the product's face value when final payment is made.
9. Within 5 working days after the seller's bank receives the buyer's bank instrument, the seller's bank issues 2% PB to the buyer's bank account, which is detailed and mutually agreed upon in the signed contract. (Note: 2% PB will not be issued by seller for $475,000 Alternate Provisional Warranty Performance Payment)
10. Upon successful receipt by the seller's bank of the non-banking instrument and receipt by the buyer of 2% PB from the seller's bank or, alternatively, upon receipt of payment MT103/TT of USD 475,000.00 by the seller's bank , the seller starts loading the product within 7 days and issues completed POP/Shipping documents.
11. The shipment begins as provided for in the contract and upon arrival of the cargo at the unloading port, the buyer's inspection team performs SGS/CIO or Equivalent Inspection to verify the quality and quantity of the product.
