2. The Buyer's signature on the SPA constitutes its full, final, and unconditional acceptance of all terms herein, creating a binding agreement to execute the Formal SPA and adhere strictly to this procedural protocol.
3. Buyer has to travel and after arriving to location of product, a face-to-face meeting is held followed by a physical goods inspection as
proof of product existence.
4. For execution of this agreement, both parties shall conduct a joint physical inspection of the consignment. The sole purpose of this
inspection is for the Buyer to verify the existence and general condition of the consignment. This inspection is not a quality
determination.
5. After satisfactory completion of the joint inspection, the Buyer shall pay in full, all estimated governmental charges associated with
the consignment for the transfer of ownership documentation.
6. The above payment is part of the invoice thus shall be deducted from final settlement and it is meant to facilitate a mandatory
imminently transfer of ownership of the goods to the buyer, permits and all related export documentation.
7. After the documentation of transfer of ownership, the seller proceeds with shipping documents after a negotiated and agreed
commitment from buyer then the shipment commences.
8. The Final Payment will be payable via SWIFT MT103 within Seventy Two (72) hours of the Buyer's receipt of the full set of export
documentation including Ownership Certificate in buyer's name.
