Price Validity/Adjustment: The initial price of USD 2,454/MT, CIF Busan, is proposed for twelve (12) months from SPA effective date, subject to downward adjustment. If the applicable LME Al reference price decreases by twelve percent (12%) compared with the reference price established on the SPA effective date, the purchase price will be adjusted to eighty-five percent (85%) of the applicable LME Aluminum reference price. The LME quotation, reference period, calculation methodology and adjustment effective date shall be specified in the SPA. This ICPO is non-binding; the price mechanism becomes binding only upon execution of the SPA.
Payment Method: Any documentary credit or bank guarantee, performance security, shipping documents, inspection arrangements (including inspection at Busan destination port), acceptance criteria and timing of payment shall be negotiated and expressly specified in the SPA. No letter of credit, standby letter of credit, bank instrument or advance payment is required solely by issuance or acknowledgment of this ICPO.
Quality and Origin: Proposed chemical composition and physical specifications set out in Appendix A. Seller shall identify the actual producing smelter and provide verifiable manufacturer-issued quality documents and evidence of origin. Final specifications, inspection methods, remedies for non-conformity, insurance and delivery risk allocation shall be agreed in the SPA.
ICPO Status: This ICPO records the Buyer's present purchasing intention only. It is not a binding purchase contract, does not create a minimum purchase commitment or payment obligation, and shall not become binding by countersignature or acknowledgment. Any binding sale and purchase obligations shall arise only upon execution of a mutually acceptable SPA by both parties. The Buyer may determine subsequent monthly orders after evaluation of the initial trial shipment.
